These Terms & Conditions (“Terms”) govern access to and use of the websites, public digital services, and general online resources operated by BBK Marketing Solutions LLC (“BBK Marketing,” “BBK,” “we,” “us,” or “our”).

BBK Research Participant Solutions (“BBK RPS”) is a branded participant recruitment platform and service operated by BBK Marketing Solutions LLC.

By accessing our websites or using our public-facing services, you agree to these Terms.

Separate participant-platform terms, client service agreements, campaign orders, proposals, privacy notices, consent forms, or other written agreements may apply to specific BBK or BBK RPS services.

If a separately executed written agreement conflicts with these general Terms, the executed agreement controls with respect to the subject matter covered by that agreement.

1. BBK Marketing Solutions

BBK Marketing Solutions provides specialized marketing, advertising, creative, business-growth, and participant recruitment services primarily for Clinical Research organizations.

Services may include:

• Clinical Research marketing;
• digital advertising;
• recruitment campaign strategy;
• creative development;
• bilingual recruitment materials;
• participant acquisition;
• participant registration;
• preliminary pre-screening;
• participant engagement;
• referral workflows;
• campaign and recruitment analytics;
• related technology and operational services.

Specific services are defined by the applicable proposal, order, contract, or service agreement.

2. BBK Research Participant Solutions

BBK RPS is BBK’s branded participant recruitment platform and service.

BBK RPS may provide:

• participant registration;
• research-profile creation;
• Study-specific preliminary pre-screening;
• participant communications;
• administrative follow-up;
• recruitment workflow management;
• structured referral routing;
• Research Organization dashboards and related recruitment tools.

BBK RPS does not operate as a medical provider and does not determine final clinical eligibility.

3. Clinical Research Disclaimer

BBK does not:

• diagnose medical conditions;
• provide medical advice;
• prescribe medication;
• provide treatment;
• perform final Study eligibility determinations;
• obtain Study informed consent on behalf of the investigator unless specifically authorized through a legally appropriate and separately approved workflow;
• enroll or randomize participants.

Research Sites and investigators remain responsible for clinical screening, medical verification, Study informed consent, eligibility determinations, medical procedures, enrollment, and Study conduct.

Information provided through BBK or BBK RPS should not be interpreted as medical advice.

4. Participant Registration

Individuals may access BBK RPS through:

• a public Study recruitment page;
• a recruitment campaign;
• a general participant registration process;
• another authorized BBK recruitment pathway.

Participants are responsible for providing information that is accurate to the best of their knowledge.

BBK may use participant-provided information to support recruitment, preliminary pre-screening, participant communication, Study matching, and authorized referral activities in accordance with applicable notices, preferences, permissions, and privacy practices.

Completion of a participant profile or preliminary pre-screening does not mean that an individual is eligible for a clinical trial.

5. Parents and Legal Guardians

Where a research opportunity involves a minor or dependent individual, BBK RPS may require registration and management by a parent, legal guardian, or other legally authorized representative.

The account holder represents that they are authorized to provide the relevant information and manage the applicable recruitment process for the dependent.

Study-specific parental permission, assent, informed consent, and eligibility procedures remain the responsibility of the Research Site.

6. Research Organizations and Recruiters

Research Organizations using BBK recruitment services or platform features must provide accurate organizational and Study information and may be required to complete verification before receiving participant referrals.

Research Organizations may access only the participant information made available through authorized recruitment and referral workflows.

No payment, subscription, campaign purchase, or organizational relationship grants unrestricted access to BBK’s participant network.

Research Organizations may not:

• sell participant information;
• use participant information for unrelated commercial marketing;
• access records belonging to another Research Organization;
• attempt to circumvent platform access controls;
• scrape, extract, or build unauthorized participant databases;
• use BBK participant information for purposes unrelated to legitimate Clinical Research recruitment and Study operations.

7. Recruitment and Preliminary Pre-Screening

BBK may use participant-provided information and Study-specific questions to conduct preliminary recruitment pre-screening.

Preliminary pre-screening is intended to organize recruitment and referrals.

It is not a clinical determination.

Final Study eligibility is determined by the applicable Research Site.

8. Advertising and Recruitment Materials

Recruitment advertising may be subject to approval by the applicable Research Site, Sponsor, CRO, Institutional Review Board, ethics committee, or other responsible body.

BBK may develop and distribute recruitment materials only after the approvals required for the applicable campaign have been documented or confirmed.

BBK does not guarantee approval by an IRB, Sponsor, advertising platform, telecommunications provider, or other third party.

9. Compensation and Study Information

Some research opportunities may provide compensation or reimbursement for time, travel, or other approved participation-related expenses.

Compensation varies by Study and is not guaranteed unless specifically stated for the applicable research opportunity.

BBK does not determine Study compensation.

10. Communications

By providing contact information and applicable permissions, users may receive administrative or recruitment-related communications from BBK through email, SMS, telephone, WhatsApp, platform notifications, or other authorized channels.

Message frequency may vary.

Standard carrier or data rates may apply.

Users may opt out of applicable communications through the methods provided in the message or by contacting BBK.

Opting out of one communication channel does not necessarily close an active participant account or Study referral.

11. Privacy

Use of BBK websites and services is subject to the applicable Privacy Policy, Data Protection & Healthcare Advertising Disclaimer, Participant Privacy Notice, and consent or permission records presented during the applicable workflow.

BBK does not sell participant health information.

12. Website and Platform Accounts

Users are responsible for maintaining the confidentiality of their account credentials and for activity occurring through their accounts.

Users must notify BBK promptly if they believe an account has been compromised.

BBK may suspend or restrict account access where reasonably necessary to:

• protect participant information;
• investigate suspected misuse;
• maintain platform security;
• comply with legal obligations;
• prevent unauthorized access;
• enforce these Terms.

13. Prohibited Activities

Users may not:

• attempt unauthorized access to BBK systems;
• interfere with platform security;
• introduce malicious code;
• impersonate another person or organization;
• provide knowingly fraudulent information;
• scrape or systematically extract protected data;
• misuse participant information;
• circumvent access restrictions;
• use BBK systems for unlawful purposes.

14. Intellectual Property

BBK websites, software, branding, workflows, platform interfaces, text, graphics, videos, designs, source code, recruitment systems, and other proprietary materials are owned by or licensed to BBK unless otherwise stated.

Nothing in these Terms transfers ownership of BBK intellectual property.

Client-specific materials and intellectual property may be governed by separate service agreements.

15. Third-Party Services

BBK may rely on third-party services such as:

• hosting providers;
• communications providers;
• email services;
• advertising platforms;
• payment providers;
• analytics providers;
• security providers.

BBK is not responsible for third-party outages, algorithm changes, account restrictions, carrier filtering, or policies outside BBK’s reasonable control.

16. No Guarantee of Recruitment Outcome

Recruitment results depend on factors that may include:

• Study criteria;
• geographic area;
• participant population;
• advertising-market conditions;
• Study interest;
• participant responsiveness;
• Research Site follow-up;
• third-party platform performance.

Unless expressly stated in a separately executed written agreement, BBK does not guarantee a specific number of clinically eligible participants, enrollments, randomizations, or completed Study visits.

17. Availability of Services

BBK may modify, suspend, or discontinue public website functionality or platform features when reasonably necessary for maintenance, security, regulatory, operational, or business reasons.

BBK will seek to minimize disruption to active recruitment services.

18. Disclaimer of Warranties

BBK websites and public online resources are provided on an “as available” basis.

To the extent permitted by law, BBK disclaims warranties not expressly stated in a separately executed agreement.

Nothing in these Terms limits obligations that cannot legally be excluded.

19. Limitation of Liability

To the maximum extent permitted by applicable law, BBK will not be liable for indirect, incidental, consequential, punitive, or special damages arising solely from use of the public website or general online resources.

Contracted services are governed by the limitation-of-liability provisions contained in the applicable service agreement.

20. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

Any dispute governed solely by these website Terms will be subject to the jurisdiction of the appropriate courts in Florida, unless a separate written agreement establishes another venue.

21. Changes to These Terms

BBK may update these Terms periodically.

The “Last Updated” or “Effective Date” displayed on this page will reflect the most recent revision.

Material changes affecting participant workflows may also be communicated through the platform or other appropriate channels.
